VisionWave Holdings and Foresight Autonomous Holdings ink strategic agreement to speed up the adoption of artificial intelligence in defense and security technologies.

VisionWave to invest up to $17.5 million in Foresight, a developer of next-generation 3D perception systems. The plan is for VisionWave to acquire a 52% controlling stake in Foresight through a two-stage transaction. This deal will be subject to the required approvals.

The partnership will focus on integrating Foresight’s sensor and perception technologies with VisionWave’s AI-based and radio frequency sensing systems. The companies plan to develop real-time perception platforms for defense, homeland security, and critical infrastructure applications.

VisionWave and Foresight Target AI-Driven Defense Systems

The deal tackles the rising need for smart perception technology in today’s defense operations. Foresight’s systems use visible light, infrared and neuromorphic sensor technologies. Meanwhile, VisionWave is working on AI-based sensing, autonomy and computational acceleration solutions.

By integrating these technologies, the companies plan to support applications such as:

    Counter-unmanned aircraft systems
    Tactical unmanned systems
    Border protection
    Critical infrastructure monitoring
    Defense and homeland security surveillance

This could help defense operators detect, interpret, and respond to threats faster, especially in environments where real-time decision-making is critical.

VisionWave to Take a Controlling Stake in Foresight

The proposed investment will happen in two stages.

In the first stage, VisionWave will receive 46% of Foresight’s issued and outstanding ordinary shares in exchange for VisionWave common stock valued at about $15.5 million.

The second stage would give VisionWave an additional 6% stake after the companies begin a binding commercial pilot project using their integrated perception platform. That second stage is valued at roughly $2 million.

If completed, the full transaction would give VisionWave a 52% controlling interest in Foresight. In addition, VisionWave would also gain board representation. The company will have two directors appointed after the first stage and one additional director after the second stage.

Both companies are expected to continue operating as independent publicly traded entities.

Why This AI Defense Technology Deal Matters

The VisionWave Foresight AI defense technology deal comes as governments and security agencies are looking to smarter systems to detect drones, secure borders and oversee infrastructure.

Artificial intelligence is becoming a major part of defense modernization as it has the potential to process sensor data faster than traditional systems. In high-risk environments, AI-enhanced perception tools may help identify threats, classify objects, and improve situational awareness in real time.

Foresight could gain a strategic partner and capital from the deal to commercialize its perception platforms. For VisionWave, the investment expands its position in AI-driven defense and sensing technologies.

Foresight CEO Says AI Perception Is Becoming Critical

Foresight CEO Haim Siboni said the investment represents an opportunity to combine Foresight’s perception expertise with advanced AI technologies.

He said the collaboration could position Foresight to offer more sophisticated AI-driven solutions for defense and security markets, where real-time intelligent perception is becoming increasingly important.

    The Bigger AI Defense Trend

The deal reflects a broader shift in the defense technology sector. AI is no longer limited to software automation or data analysis. It is increasingly being embedded into physical sensing systems, autonomous platforms, drones, surveillance tools, and infrastructure protection networks.

As AI becomes more important to national security, companies working on perception, autonomy, and sensor fusion are likely to attract more attention from investors, governments, and defense contractors.

VisionWave’s planned investment in Foresight shows how AI defense technology partnerships may become a key strategy for companies seeking to build next-generation security platforms.

    Conclusion

VisionWave’s planned $17.5 million strategic investment in Foresight marks another sign of growing momentum in AI-powered defense technology.

Under the joint development, the companies will combine Foresight’s 3D perception systems with VisionWave’s AI and RF-based sensing capabilities. Together, they aim to develop real-time intelligent perception platforms for counter-drone operations, tactical unmanned systems, border security and critical infrastructure monitoring.

The deal is subject to regulatory, stock exchange and shareholder approvals. However, if completed, it would give VisionWave a controlling stake in Foresight and deepen both companies’ involvement in the growing AI defense market.
