SoftBank Group is returning to the debt market with one of its biggest financing moves yet. OpenAI sits at the center of it.
The Japanese technology investment group has launched roughly $11 billion worth of dollar- and euro-denominated bonds. Part of the proceeds is expected to fund another major investment in OpenAI. The deal underlines just how much capital is now required to stay competitive in the global artificial intelligence race.
According to a term sheet reported by Reuters, SoftBank is offering $10 billion in U.S. dollar-denominated senior unsecured notes together with €1 billion in euro-denominated notes. The scale of the transaction immediately puts it among the largest corporate debt offerings in the region.
SoftBank Turns to Bonds for Its Next OpenAI Payment
A large portion of the financing is expected to go directly toward SoftBank’s continuing investment in OpenAI. The company is preparing to make a $10 billion payment for the third tranche of its follow-on investment. That payment is expected to close on October 1. Some of the bond proceeds may also be used for general corporate purposes.
SoftBank had previously arranged a $10 billion bridge loan to cover the commitment. The new bond issuance is expected to replace that temporary financing with longer-term debt. This will give SoftBank more time to manage the cost of its growing AI investments.
The move shows how OpenAI has become more than a conventional portfolio investment for SoftBank. It is now tied closely to the group’s broader financial strategy and its ambitions in artificial intelligence.
The Bond Offering Is Split Across Several Maturities
SoftBank is spreading the financing across several maturities instead of concentrating the entire deal into one bond. The dollar-denominated portion includes 3.5-year, 5.5-year and 7.5-year notes, while the euro offering includes four-year and six-year maturities.
The bonds are expected to price on September 24 and settle on September 29. Citigroup is acting as the lead bookrunner for the dollar notes, while JPMorgan is leading the euro-denominated transaction. Goldman Sachs and Morgan Stanley are also participating in the deal.
By dividing the debt into different maturities, SoftBank can spread its repayment obligations over a longer period. At the same time, it can still raise enough capital to cover its near-term investment commitments.
It Could Become a Record Corporate Bond Deal in Asia-Pacific
The size of the offering has drawn attention beyond SoftBank itself. If the transaction closes at its planned amount, LSEG data cited by Reuters suggests it could become the largest non-financial corporate bond deal on record in Asia-Pacific and Japan.
The previous regional benchmark was set by 7-Eleven Inc., which completed a $10.93 billion bond sale in January 2021. SoftBank’s planned financing would move slightly above that mark.
Dealogic data also places the transaction among the largest corporate bond offerings globally in 2026. That makes the deal significant not only because of its connection to OpenAI. It is also significant because of its sheer size within international capital markets.
SoftBank Is Taking On More Debt as AI Spending Grows
The financing gives SoftBank more room to invest, but it also increases the group’s debt exposure. Fitch Ratings assigned the proposed notes a BB+ rating and expects SoftBank’s debt levels to rise as the company continues funding its investment commitments.
Fitch also said the company should retain sufficient liquidity and continued access to capital markets. That access is important because SoftBank’s AI strategy is becoming increasingly expensive. This is especially true as the group commits capital to frontier AI companies and related infrastructure.
This is one of the clearest signs that the AI boom is no longer only about software releases and model upgrades. The financial demands behind the industry are becoming just as important.
OpenAI Is Becoming a Bigger Part of SoftBank’s AI Strategy
SoftBank’s relationship with OpenAI extends beyond financial investment. SoftBank Corp., SoftBank Group and OpenAI have been working together on enterprise AI initiatives in Japan. Their work includes efforts focused on bringing OpenAI technology into corporate systems and workflows.
SoftBank has also been involved in developing Crystal intelligence, an enterprise AI platform designed to combine OpenAI technology with business operations. That creates a commercial relationship alongside SoftBank Group’s large financial stake.
The combination of investment, enterprise products and infrastructure plans shows how deeply SoftBank is positioning itself around OpenAI. The latest bond sale adds another layer to that strategy.
AI’s Capital Race Is Becoming More Expensive
Artificial intelligence is becoming one of the most capital-intensive areas of the technology industry. Building advanced models is only one part of the expense. Companies also need data centers, high-performance chips, power infrastructure, networking equipment and enterprise deployment systems.
SoftBank’s bond sale shows how that spending is now spreading into global debt markets. Large AI investments increasingly require financing structures that would once have been associated with major infrastructure projects or large-scale acquisitions.
The scale of the transaction also reflects how quickly the economics of frontier AI are changing. Staying involved at the highest level now requires access to enormous pools of capital.
