    MGX Joins $40 Billion Aligned Data Centers Deal as AI Infrastructure Spending Accelerates

    Artificial intelligence may live inside software, but the industry’s biggest money is increasingly flowing into something far more physical. The recent MGX Aligned Data Centers acquisition is a key example of this trend toward investing in tangible infrastructure.

    Buildings. Power grids. Cooling systems. Land. Thousands of servers running around the clock.

    Abu Dhabi-backed investment firm MGX, the Artificial Intelligence Infrastructure Partnership and BlackRock’s Global Infrastructure Partners have completed their acquisition of Aligned Data Centers. The transaction gives Aligned an enterprise value of approximately $40 billion, placing it among the largest private digital infrastructure investments completed to date.

    The consortium is not stopping with the purchase price either. It has committed another $5 billion to expand Aligned’s operations and build more capacity designed for artificial intelligence workloads.

    That extra investment may end up being just as important as the acquisition itself.

    MGX and Its Partners Take Full Control of Aligned

    The consortium acquired 100% of Aligned Data Centers from infrastructure funds managed by Macquarie Asset Management and other co-investors.

    Aligned will remain headquartered in Dallas, Texas, while CEO Andrew Schaap and the existing management team will continue running the business. There is no dramatic leadership reset attached to the deal. The buyers appear more interested in giving the company enough capital to grow faster.

    And there is already a substantial platform to build from.

    Aligned now has a portfolio covering 51 campuses and more than 6.4 gigawatts of operational and planned capacity across the United States and Latin America. Its locations include major data center markets such as Northern Virginia, Chicago, Dallas, Phoenix, Salt Lake City, São Paulo, Querétaro and Santiago.

    This is not a small collection of server buildings. It is a large slice of the infrastructure that cloud providers and AI developers increasingly need.

    Another $5 Billion Will Go Into AI-Ready Capacity

    The additional $5 billion in growth capital gives the deal a clearer direction.

    The consortium wants Aligned to expand its AI-ready data center capacity. That means facilities capable of supporting high-density computing systems, advanced cooling requirements and the enormous power demands created by modern AI training and inference.

    Traditional data centers were not designed for every rack to be packed with power-hungry accelerators. AI systems changed that equation.

    More advanced models require larger computing clusters. Those clusters need electricity, cooling, network connections and enough physical space to keep growing. Finding chips remains difficult, but finding places to install and operate them is becoming another serious constraint.

    Aligned has also developed patented cooling technology intended to reduce water consumption and improve energy efficiency. Those capabilities matter more now that AI infrastructure projects face growing questions about their impact on local grids, water supplies and surrounding communities.

    The Deal Is the First Major Investment From AIP

    The acquisition marks the first investment completed by the Artificial Intelligence Infrastructure Partnership, commonly known as AIP.

    BlackRock, Global Infrastructure Partners, Microsoft and MGX originally launched the partnership in 2024. NVIDIA and xAI later joined the initiative as it expanded its focus on data centers, energy systems and other infrastructure needed to support AI development.

    AIP plans to mobilize $30 billion in equity capital. When debt financing is included, the partnership believes it could support as much as $100 billion in total infrastructure investment.

    Starting with a $40 billion data center acquisition says plenty about the scale of its ambition.

    Rather than making smaller bets across dozens of individual projects, AIP now has control of an established operator with campuses, customers and expansion sites already in place.

    Abu Dhabi Is Buying Into the Physical Backbone of AI

    MGX’s role makes the deal particularly significant for the UAE.

    The Abu Dhabi-based investment company was created to invest across semiconductors, AI infrastructure and advanced technology. Its involvement in Aligned extends that strategy directly into the physical layer supporting AI development in the Americas.

    It also gives Abu Dhabi a stronger position inside a market increasingly shaped by access to power rather than software alone.

    Large technology companies can develop new models fairly quickly. Building a data center campus, securing grid access and installing enough cooling equipment takes much longer. In some regions, power connections and construction approvals can delay projects for years.

    That imbalance has made existing data center operators unusually valuable.

    MGX is not simply investing in another AI company here. It is investing in the places where AI companies will run their systems.

    AI Spending Is Moving Beyond Chips and Models

    The AI investment story often revolves around semiconductor companies, model developers and cloud platforms.

    This deal widens the frame.

    The industry now needs a huge construction cycle behind those products. Data centers must become larger, denser and more efficient. Energy developers need to add generation and transmission capacity. Cooling systems have to handle hardware that produces far more heat than older computing equipment.

    A $40 billion valuation for Aligned shows how aggressively investors are pricing that demand.

    The transaction was first announced in 2025 and has now officially closed. Since then, Aligned’s portfolio has grown from roughly 50 campuses and more than five gigawatts of capacity to 51 campuses and over 6.4 gigawatts of operational and planned capacity.

    The numbers keep moving because the infrastructure race has not slowed down.

    The Hard Part Comes After the Acquisition

    Buying Aligned gives the consortium scale. It does not remove the difficult questions.

    New facilities still need reliable energy. Local communities may push back against land use, noise, water consumption or pressure on electricity prices. AI demand could also shift as models become more efficient or companies reconsider how much computing capacity they actually need.

    The additional $5 billion commitment suggests the buyers are comfortable taking that risk.

    Their wager is fairly direct: AI use will continue rising, computing demand will grow with it, and companies controlling efficient, well-connected data center campuses will become increasingly difficult to replace.

    That may prove correct. It may also create a crowded rush toward infrastructure projects that take years to deliver.

    For now, the MGX-led investment has turned one of the AI sector’s biggest infrastructure ambitions into a completed deal. The money is no longer waiting on the sidelines. It is moving into concrete, cooling systems and gigawatts.
