    Plan A Technologies Acquires AI Assessment Tool to Strengthen M&A Due Diligence

    Plan A Technologies has acquired a proprietary AI assessment tool aimed at technical M&A due diligence.

    The Las Vegas-based AI and software engineering company announced the deal on September 2, 2026. The technology is designed to examine complex software environments faster. It can also uncover technical risks and patterns that conventional assessment methods may miss.

    The acquisition comes as technology buyers face a new problem. More software is being written with artificial intelligence. That can make it harder to understand what sits underneath a company’s products before an acquisition closes.

    Plan A wants its new AI technology to make that process clearer.

    Plan A Adds AI to Technical M&A Due Diligence

    Plan A already provides technical due diligence for private equity firms and strategic buyers. Enterprise companies and private investors also use its services. The newly acquired AI tool adds another layer to that work. It can examine technology platforms for risks, unusual patterns, and potential opportunities. Plan A says the system will complement its existing assessment methods rather than replace them.

    The Tool Is Designed for Complex Technology Environments

    Modern software environments can be messy. Large businesses may operate dozens of applications, databases, services, and integrations. Some systems are modern, while others can be years old. Plan A says the acquired technology can analyze large and fragmented environments more consistently. This could help technical teams connect signals that would otherwise remain scattered across separate systems.

    AI Could Help Buyers Spot Risks Before an Acquisition

    Technical problems can change the economics of an acquisition. A platform may require expensive modernization after the deal closes. Security weaknesses can create another layer of risk. Scalability problems may also limit future growth. Plan A wants its AI system to identify those warning signs earlier. The goal is not simply to produce more technical findings. It is to separate manageable technical debt from problems that could materially affect a transaction.

    Traditional Code Reviews Are Not Going Away

    Plan A is not replacing engineers with an AI due diligence bot. The company will continue using expert interviews and manual code reviews. Architecture analysis and documentation reviews will remain part of the process. Commercial code-scanning products will also continue to play a role. The AI assessment technology will sit alongside those tools. It is intended to improve the speed and consistency of larger reviews.

    More AI-Generated Code Is Creating a New Due Diligence Problem

    AI coding tools are changing how companies build software. Developers can now generate large amounts of code much faster. That speed can also make technology environments harder to understand. Plan A believes some company leaders may know less about their underlying software as AI-generated code increases. That makes deeper technical assessment more important during acquisitions.

    The concern is already appearing across the wider M&A market. KPMG has highlighted what it calls an AI blind spot in technology due diligence. Its analysis argues that traditional diligence methods can miss AI-related technical debt and other emerging risks.

    Human Technical Judgment Still Matters

    Plan A is pushing a hybrid approach rather than full automation. Co-founder Slav Kulik said AI should not replace experienced technical judgment. Instead, it can help experienced engineers analyze more information. Human experts still need to understand what the findings mean for a buyer. That includes the cost of fixing problems and the difficulty of integrating platforms after a deal.

    The Tool’s Creator Is Joining Plan A Technologies

    The acquisition also brings the technology’s creator into Plan A. Serhii Melnychuk has joined the company as an architect. He will lead the tool’s integration and future development. Melnychuk built the system to help experts connect technical signals across different systems. Plan A will now develop that technology within its wider engineering and advisory business.

    Plan A Wants Proprietary AI Across More of Its Engineering Work

    The acquisition fits a broader strategy at Plan A Technologies. The company is developing and acquiring proprietary tools for its engineers and advisors. AI agents are already part of that direction. Plan A also works on software development, cloud migrations, application modernization, and data platforms. It develops agentic systems and custom enterprise software as well.

    AI Due Diligence Is Becoming More Important for Investors

    Technology due diligence used to focus heavily on software architecture, security, and scalability. Those areas still matter. AI adds several new questions. Buyers may need to understand how much code was AI-generated. They may also need to examine data dependencies and AI-related technical debt. Model quality and governance could become part of the conversation too.

    KPMG reported that only 33% of dealmakers prioritized technical and AI debt during pre-deal evaluations. However, 66% discussed those issues during deal planning. That gap suggests many buyers are still catching AI-related risks too late in the process.

    AI Could Change What Technology Buyers Look for Before Closing

    The bigger story here is not one software acquisition. It is what happens as AI moves deeper into corporate technology stacks.

    Buyers increasingly need to understand software that may have been built differently from systems developed five years ago. AI-generated code can increase development speed. It can also create new questions around maintainability and technical ownership.

    Plan A is betting that AI itself can help answer some of those questions. The company’s new assessment technology will search for patterns at a larger scale. Senior engineers will then interpret what those patterns mean.

    That combination could become increasingly common in M&A. AI may help companies build software faster. It may also become one of the tools investors use to decide whether that software is worth buying.
